1. Updating the Terms of Service
From time to time the Terms may be updated and your continued use of the Services will be on the basis of agreement to the new Terms. You are expected to check the Terms regularly and if you do not agree to the new Terms then you must cancel any subscription and we will delete your account.
2. Operating Entity
All TraderUI Services are provided by LAB4 Ltd, registered in the UK under company number 15811733. The registered address of LAB4 Ltd is 85-87 Saltergate, Chesterfield, S40 1JS.
3. Provision of Advice
None of the TraderUI services provide any type of advice whether legal, financial, investment or financial markets trading advice. If you require advice of any form, we recommend you engage a registered professional in your jurisdiction. By using the Services you agree that any action you take as a result of using the Services is entirely at your own discretion and is not an advised action from TraderUI. LAB4 Ltd accepts no responsibility for any loss whatsoever whether financial or otherwise, incurred as a result of using the Services. Further detail can be found in section 10 of the Terms.
4. Subscriptions, Billing, and Payment
You must be 18 years or older to use the Services. If you purchase a subscription you must pay the subscription price stated at the time of your purchase. This will include applicable UK taxes. Your subscription will renew according to the basis on which you subscribed (e.g., monthly, annually). If you cancel your subscription you will continue to have access to the Services until the end of the period for which you have paid. We may change the subscription price or plan features by giving 30 days notice. Price changes will not be retrospective and there is no obligation to continue to subscribe at a new price or functionality. You can cancel your subscription at any time. You must not share accounts, resell access, or allow unauthorised users to access the Service.
Payment processing and subscription management are handled by third-party providers. We do not store your full payment details. Your use of our payment providers is subject to their terms and privacy policies. LAB4 Ltd are not responsible for any issues or loss arising from your use of our payment processing providers.
5. Refunds
In accordance with UK law if you subscribe to TraderUI then you will be eligible for a prorated refund if you wish to cancel your subscription, only within the first 14 days of your first subscription payment. Once payment has been received, access is granted immediately to the Services and therefore any refund within the 14 day period will be reduced for each day elapsed before a cancellation has been requested. One day will be classed as 1/30 of the monthly subscription fee or 1/365 of the annual subscription fee regardless of the actual days in the month or year concerned. The 14 day refund period only applies to the first subscription payment. All subsequent subscription payments are deemed to be a continuation of the first subscription and therefore the 14 day cancellation rule does not apply.
6. Privacy and Data Protection
By accessing the Services, you agree to our Privacy Policy , which also includes how we treat your data.
7. Intellectual Property
LAB4 Ltd own all rights, title and interest in and to the Services, including all software, websites, models, prompts, workflows, design, branding and all related intellectual property. A trial or subscription to the Services grants a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal use only. You may not reproduce, distribute, publicly display, sell, rent, lease, sublicense, or create derivative works from the Service except as expressly permitted in writing by LAB4 Ltd.
8. Performance, Timing, and Accuracy
All services, including the Application, have no guarantees, warranty or service level agreements in respect of uptime, accuracy or timing of post retrieval and analysis. No claims will be accepted for any period for which the Services are unavailable or subject to delays. TraderUI uses information from public sources which could be misleading or inaccurate. Any analysis that TraderUI produces may also be inaccurate as a result of inaccuracies in the source data, misinterpretations of the source data or mistakes or errors in the Application’s design and configuration.
9. Fair Usage Policy
Some subscription levels do not include a defined restriction on usage and are limited only by a fair usage policy. The term “Fair Usage” is not defined and is considered on a case by case basis to prevent abuse of the Services. To determine whether the Services are being used fairly we will consider how many accounts are being monitored concurrently and the duration of monitoring in each session. If a user is considered to using the Services unfairly they will be contacted to explain our decision and invited to purchase an additional subscription or advised how to reduce their usage to a fairer level.
10. Prohibited Uses
You must not use the Services in any way which contravenes the law or any relevant regulations, both in the country from which you access the Services, and any country that may be impacted by your actions from outside their jurisdiction. You must not copy or extract any data or content from the Services in any manner except where expressly permitted by LAB4 Ltd in writing. Specifically, you must not use any robot, spider, or other automatic device, process, or means to access the Services including monitoring or copying any data or content. You must not reverse engineer, decompile, disassemble, or attempt to discover the source code, models, or underlying methods of the Services, except to the extent permitted by law. You must not circumvent access controls, security measures, or rate limits. You must not use the Service to build or train competing systems, models, or datasets. You must not attempt to gain unauthorised access to, interfere with, damage, or disrupt any parts of the Services, the servers on which the Services are stored, or any server, computer, or database connected to the Services or data stored therein. You must not use any device, software, or routine that interferes with the proper working of the Services. You must not upload, transmit, or introduce viruses, malware, or other code whether harmful or not to any software, processes, architecture or equipment upon which the Services run. You must not attack or permit others to attack the Services in any way that could impact the effectiveness or cause damage to the Services.
11. Limitation of Liability
Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. LAB4 Ltd will not be liable for any loss or damages of any kind arising from the use of or reliance on the Services, including but not limited to direct, indirect, incidental, consequential, special, or punitive damages, lost or reduced profits, business interruption, loss of data, or any other commercial or personal damages. This includes damages resulting from:
- Any decisions made as a result of using the Services
- Financial losses, investment, or trading activities
- Business decisions or strategic planning
- Reliance on any information provided by the Services
- Interruptions, errors, performance degradation. or inaccuracies
You use the Services entirely at your own risk. LAB4 Ltd provides no warranties, express or implied, regarding the accuracy, reliability, or suitability of any information provided.
12. Linking to the Website or App
You may link to the Website, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent beforehand. You must not:
- Link to the Application
- Establish a link from any website or profile that is not owned by you
- Display any of the Services, or appear to display by, for example, framing, deep linking, in-line linking, or posting screenshots on any other website, social media, or any other form of media whatsoever
- Take any action with respect to the content and materials on the Services that is inconsistent with any other provision of these Terms of Service
You agree to cooperate with LAB4 Ltd if we identify any unauthorised framing, linking or use of any aspect of content or material obtained from the Services and to immediately cease upon our request. We reserve the right to withdraw linking permission without notice.
13. Suspension and Termination
We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, pose a security risk, or create legal risk for us. In the event that a subscription payment cannot be collected, your account will be suspended until such time as payment is made. From time to time and in accordance with UK data protection law, dormant accounts will be permanently deleted rendering them unable to be reactivated.
14. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the invalid provision shall be severed from this Agreement. The invalidity or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of this Agreement, all of which shall remain in full force and effect. The Parties agree to replace any severed provision with a valid provision that most closely reflects the original economic and legal intent of the Parties.
15. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the matters herein and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written. No supplement, modification, or waiver of this Agreement shall be binding unless executed in writing by both parties.
16. Assignment
LAB4 Ltd may freely assign this Agreement or subcontract any portion of the Services without the Client's prior written consent. The Client shall not assign or transfer its rights or obligations under this Agreement to any third party without the prior written consent of the Service Provider.
17. Governing Law
LAB4 Ltd is registered in the United Kingdom and therefore these Terms are governed by the laws of the United Kingdom. Disputes will only be resolved in the courts of England and Wales. No dispute resolution process or legal proceedings from any other jurisdiction will be entered into.
